Company Registration Procedure
All businesses in Ukraine must be officially registered by the State Registrar. Following incorporation, the company is registered with the relevant tax authorities and other state registers in accordance with applicable legislation.
Requirements for Foreign Founders
If the founder is a foreign legal entity, the following documents are generally required:
- Extract from the Commercial, Trade, Bank or Court Register confirming the legal status of the company in its country of incorporation;
- Articles of Association (or equivalent constitutional documents);
- Power of Attorney authorizing a representative to establish the company in Ukraine.
These documents must be duly executed in accordance with the laws of the issuing country, translated into Ukrainian by a certified translator, and legalized or apostilled where required.
If the founder is a foreign individual, a Ukrainian Tax Identification Number (TIN) must be obtained before incorporation. This procedure generally takes up to 1 business day.
The complete incorporation process, including preparation of corporate documents, state registration, and establishment of the company’s authorized capital (if applicable), usually takes approximately one month.
Registration Process
Step 1. Registration with the State Registrar
The following documents are submitted for state registration:
- Company’s Charter (Articles of Association);
- Minutes (or Resolution) of the Founders;
- Completed registration application;
- Proof of payment of the applicable state registration fee (where required).
Step 2. Registration with the State Statistics Authorities
The company is entered into the Unified State Register and receives the relevant statistical classification codes.
Step 3. Tax Registration
Registration with the State Tax Service, including:
- Selection of the applicable taxation system;
- VAT registration (if required);
- Obtaining a VAT number.
Step 4. Company Seal
Preparation of the company seal (optional under Ukrainian law, but available upon the client’s request).
Step 5. Opening a Corporate Bank Account
Assistance with opening current and foreign currency corporate bank accounts with Ukrainian banks.
